Corporate Paralegal / Corporate Legal Secretary -
• At least 2 years recent experience (continuous) as a corporate or transactional paralegal, preferably in a law firm environment.
• Familiarity with California, Delaware and Nevada business entities, including corporations and LLCs.
• Experience supporting entity formations, corporate governance, and ongoing compliance, including all required state formation and compliance filings and preparing and submitting IRS SS-4 EIN applications.
• Experience supporting venture or private equity financings (seed through later stage rounds), including diligence, closings and post-closing compliance tasks (e.g. preparing and submitting SEC Form ID applications and preparing and filing SEC Form D and related blue sky filings, preparing and filing UCC-1 financing statements (including collateral descriptions), and relevant UCC-3 amendments/terminations)
• Experience supporting M&A transactions on the buyer and/or seller side, including diligence and closings (e.g. preparing signature packets and arranging execution, including via DocuSign; compiling executed documents and assembling exhibits.)
• Ability to prepare and manage board and stockholder consents, transaction documents, and corporate records.
• Some experience maintaining capitalization tables and supporting equity issuances or equity plans.
• Strong organizational skills with the ability to manage multiple matters and competing deadlines.
• High attention to detail and accuracy in document preparation and filings.
• Professional communication skills and ability to coordinate with attorneys, clients, and external parties.

•Compensation: Pay rate: $36.00 - $40.00/hr.
